Terms of Service

1. Agreement and scope

These terms apply to the website nexadeco.com (including www.nexadeco.com) and to inquiries, quotations, sample shipments and purchase orders exchanged through it. A supply contract is formed only when we confirm your order in writing (email or signed proforma invoice) and, where required, receive the agreed deposit. Where a signed contract, proforma invoice or Incoterms 2020 rule conflicts with these terms, the signed document prevails for that order.

These terms are written for business customers. If you are a consumer, mandatory consumer-protection law in your country of residence prevails over anything in these terms that would reduce your statutory rights.

2. Use of the website

You may browse the site, download catalogue material and submit inquiries for legitimate business purposes. You are responsible for the accuracy of the information you submit and for keeping your own systems secure. We may change, suspend or withdraw any part of the site at any time, including product pages and documentation, without liability, because our catalogue changes with factory availability.

3. Product information, finishes and samples

Dimensions, weights, performance figures, images and colours on this site are indicative. Natural materials (stone, wood veneer, sintered surfaces) vary in veining, tone and texture between batches; monitor calibration varies too. Nothing on the website is a warranty that a delivered item will match a screen rendering exactly. Where a finish or shade is critical, request a physical sample (sample kits are available on request) and approve it in writing before production.

4. Quotations and orders

  • Quotations are valid for 30 days from the date of issue unless stated otherwise, and are subject to re-confirmation of material prices and freight at the time of order.
  • An order is accepted only by our written order confirmation. Specifications (drawings, finishes, quantities, tolerances) must be final at that point; later changes are handled as a variation with the impact on price and lead time confirmed in writing.
  • Minimum order quantities apply per product family and are shown in the quotation.
  • We may decline an order if we cannot verify your identity, if the requested specification is not producible, or if we are required to do so by law.

5. Prices, taxes and payment

  • Prices are quoted in the currency stated in the quotation, normally USD, and are exclusive of destination duties, import VAT, customs clearance charges and any local levies, unless the quotation says otherwise.
  • Incoterms 2020 apply as stated in the quotation or order confirmation (typically FOB or CIF).
  • Unless otherwise agreed: 30% deposit on order confirmation and 70% before shipment. Payment by bank transfer to the account named in the proforma invoice. Bank charges are borne by the payer.
  • Late payment may suspend production or shipping and may attract interest at 1% per month or the maximum permitted by the applicable law, whichever is lower.
  • Ownership of the goods passes only when we have received payment in full; risk passes according to the applicable Incoterm.

6. Lead times, shipping and risk

Lead times are estimates given in good faith and start from the later of order confirmation, receipt of the deposit and written approval of drawings or samples. Shipping schedules of carriers can change without notice. Risk of loss or damage passes to you at the point defined by the applicable Incoterm; where the contract is CIF or C&F, you should insure the goods from the port of loading. We are happy to arrange freight and insurance as your agent on request.

7. Inspection, acceptance and defect claims

  • Every production run passes a staged in-house quality inspection before loading; inspection reports are available on request and third-party inspection (SGS, BV, Intertek or your own agent) can be arranged at your cost.
  • Please inspect the goods on arrival. Visible damage or short delivery must be notified to us and to the carrier within 7 days of delivery, with photographs of the packaging and the goods.
  • Latent defects must be notified within 30 days of delivery, or as soon as they are reasonably discoverable, with photographs, order number and batch information.
  • Verified defects are remedied, at our option, by replacement, repair or a credit note. Goods claimed as defective must be retained and made available for inspection.

8. Warranty

We warrant that delivered goods conform to the approved specification and are free from manufacturing defects for 12 months from delivery (or the period stated in the quotation for specific systems). The warranty does not cover normal wear, misuse, incorrect storage or installation, exposure to conditions outside the published specification, or modifications made by others. This warranty is in addition to, and does not replace, any non-waivable statutory rights.

9. Intellectual property

All content on this site – text, product photography, drawings, renders, layout, code and the NEXA name and logo – is owned by us or licensed to us and may not be copied, republished, scraped at scale or used to train automated systems without our written permission. You may download catalogue pages and product data for the purpose of evaluating or specifying our products.

You keep all rights in the drawings, plans and specifications you send us, and you grant us a limited licence to use them only to price, manufacture, inspect and ship your order and to comply with the law. We treat project drawings as confidential and will not disclose them to third parties except to the factories and inspectors working on your order or where the law requires it.

10. Acceptable use

You must not: submit false or misleading inquiries; upload malware; attempt to access restricted areas of the site or to bypass rate limits and authentication; scrape the site in a way that degrades it for others; send unsolicited bulk email through our forms; or use the site in breach of export control or sanctions law. We may block traffic and delete data that violates this section.

11. Third-party links and services

The site links to external services such as WhatsApp and loads webfonts from Google Fonts. Those services are controlled by their own operators and governed by their own terms and privacy policies. We are not responsible for their content or availability. See our Cookie Policy for the technical detail.

12. Disclaimer and limitation of liability

The website is provided "as is" and "as available". To the maximum extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose and non-infringement in relation to website content, and we are not liable for indirect, incidental, special or consequential loss, loss of profit, loss of business or loss of data arising from use of the website.

Our total aggregate liability arising out of or in connection with a supply contract is limited to the invoiced value of the goods giving rise to the claim. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for any liability that cannot lawfully be limited.

13. Export control and sanctions

You confirm that you are not located in, or acting on behalf of, a person or entity subject to trade sanctions that would prohibit the transaction, and that you will comply with applicable export, import and re-export laws. We may refuse or cancel an order, and suspend performance, where compliance requires it.

14. Force majeure

Neither party is liable for delay or non-performance caused by events beyond its reasonable control, including natural disasters, epidemics, war, civil unrest, government action, port closures, carrier failure, power shortages, raw-material shortages or cyber-attacks. The affected party will notify the other promptly and use reasonable efforts to mitigate; if the event continues for more than 120 days, either party may terminate the affected order and settle for work already performed.

15. Governing law and dispute resolution

These terms and any supply contract are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The parties will first attempt to settle any dispute amicably through senior representatives within 30 days. Failing that, the dispute is referred to the competent court at Foshan, Guangdong, China, or, if both parties agree in writing, to arbitration administered by CIETAC under its rules. Nothing here prevents either party from seeking interim relief to protect its rights.

16. Term, suspension and termination

We may suspend or terminate your access to the site or an order if you materially breach these terms, if payment is not made when due, or if we are required to do so by law. Termination does not affect rights and obligations accrued before termination, including payment for goods already produced or shipped, and clauses on intellectual property, liability and governing law survive it.

17. Changes to these terms

We may update these terms to reflect changes in our products, the site or the law. The version published here at the time you use the site applies. Orders are governed by the terms in force when the order is confirmed.
