These Terms of Service ("Terms") govern your use of nexadeco.com and any quotation, sample box, specification or engineering service we provide through it. The website is operated by NEXA Global Space Solutions ("NEXA", "we", "us"), Foshan, Guangdong, China. By using the website, submitting a request for quotation (RFQ) or requesting samples, you confirm that you are at least 18 years old and that you accept these Terms. If you act for a company, you confirm that you are authorised to bind it.
Our website and services are intended for business customers: developers, contractors, architects, interior studios, distributors and hospitality operators. Product information is written for professional buyers, not for consumers, and no consumer-protection withdrawal right applies to made-to-order commercial goods. We may decline or cancel an RFQ or order where we cannot verify the buyer, where sanctions or export rules prohibit the transaction, or where the request is unlawful.
Photographs, renderings, specifications, dimensions, colour names and availability information on this website are indicative. They are provided to describe our capability and product range and do not constitute a binding offer, warranty or representation. Natural and engineered materials vary between production batches; section 5 explains this in detail.
You are responsible for confirming final dimensions, drawings, hardware schedules, finishes, fire ratings and site conditions before production. Physical sample boxes are reference samples: for wood, stone, sintered surfaces, laminates, fabrics and metals, colour, grain, veining and texture will vary between batches within normal commercial tolerances for the material. Where a colour match is critical, we agree a control sample in writing before production. Sizes are subject to standard manufacturing tolerances (typically ±2 mm on millwork dimensions unless the drawing states otherwise), and stone slabs may contain natural fissures, resin lines and shade movement that are not defects.
Lead times are estimates calculated from the date we receive the deposit, approved drawings and any agreed control sample, and are quoted in working days. Production and transit times are affected by material availability, inspection results, port congestion, weather and customs. Delivery dates are therefore estimates, not guarantees, except where we expressly agree a fixed date in writing. Risk and title pass according to the agreed Incoterm. You are responsible for import permits, destination customs clearance and site access unless we agree DDP delivery in writing.
Our products are manufactured to your specification, so orders cannot be cancelled or returned once production has started, except where we agree otherwise in writing. Approved deposits cover materials, tooling and reserved capacity and are non-refundable after production begins. If you cancel before production starts, we refund the deposit less documented costs already incurred. Nothing in this section limits any non-waivable statutory rights or our warranty in section 8.
All website content, photographs, renderings, drawings, catalogues and technical documents we produce remain our property or that of our licensors and may not be reproduced, resold or used to manufacture competing products without our written permission. Drawings, plans and specifications you send us remain yours; you grant us a limited licence to use them only to quote, engineer, manufacture, inspect and deliver your order, and to retain them for the retention period described in our Privacy Policy.
Do not send us material that you are not entitled to share. Information you submit through the RFQ form is handled as described in our Privacy Policy. We treat project drawings and commercial terms as confidential and disclose them only to the team members and suppliers needed to perform the order. Where we need a mutual non-disclosure agreement before receiving sensitive drawings, ask your account manager.
You must not scrape, crawl or harvest the website at a rate that degrades it; attempt to bypass authentication, rate limits or security controls; upload malware; reverse engineer any software or sample; or use the website for unlawful, misleading or infringing activity. We may suspend access, cancel enquiries and report attacks to the relevant authorities.
The website links to third parties (for example WhatsApp and Google Fonts). Those services have their own terms and privacy policies, and we are not responsible for their content or practices. Where the order includes third-party products (appliances, hardware, smart-home systems), the manufacturer's terms and warranty apply in addition to ours.
You confirm that you and your end customers are not subject to trade sanctions or export-control restrictions that prohibit the transaction, and that the goods will not be diverted to a prohibited end use. We may request an end-use statement and may suspend performance where a shipment would breach applicable export, sanctions or customs law. Refusal on these grounds is not a breach of contract.
Except for the warranty in section 8 and to the maximum extent permitted by law, the website and its content are provided "as is" and "as available", without warranties of merchantability, fitness for a particular purpose, non-infringement or uninterrupted availability. We do not warrant that the website will be error-free or that any information on it is complete or current for your specific project; professional, structural, fire and code compliance must be verified by your own qualified advisers.
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, loss of profit, loss of contract, loss of goodwill or business interruption. Our total aggregate liability arising out of or in connection with an order is limited to the amount you actually paid us for the goods giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including liability for death or personal injury caused by negligence, or for fraud.
You indemnify us against third-party claims, losses and reasonable legal costs arising from drawings, specifications or materials you supplied, from your use of the goods in a way that breaches building codes, safety rules or third-party intellectual property, or from your breach of these Terms.
Neither party is liable for delay or failure caused by events beyond its reasonable control, including natural disasters, epidemics, war, strikes, port closures, government action, power or network failure, or material shortages. The affected party will notify the other promptly and use reasonable efforts to mitigate the impact. If the event continues for more than 90 days, either party may terminate the affected order and settle for work already performed.
We may suspend or terminate your access to the website or an order immediately if you breach these Terms, if payment is not made when due, if we are required to do so by law, or if we reasonably believe the transaction is fraudulent or unlawful. Sections that by their nature should survive termination (intellectual property, confidentiality, disclaimers, liability, indemnity and governing law) continue to apply.
These Terms and any non-contractual dispute arising from them are governed by the laws of the People's Republic of China, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods. The parties will first attempt to resolve any dispute through good-faith negotiation between senior representatives within 30 days. Failing that, the dispute will be submitted to the competent court in Foshan, Guangdong, China, unless the parties agree in writing to arbitration (for example CIETAC in Shenzhen or Hong Kong) in the order confirmation. Nothing here prevents either party from seeking urgent injunctive relief. Where mandatory consumer or local law gives you stronger rights, those rights prevail.
We may update these Terms to reflect changes in our services, technology or the law. The current version is always published on this page with the date below. Changes apply to use of the website after publication; orders are governed by the Terms in force when the order was confirmed, unless we agree otherwise in writing.
